Terms of Service

1. Operating Entity, Sole Trader Status & Agreement to Terms

By accessing or using Resurfed AI (available at resurfedai.com and associated subdomains and APIs), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree to these Terms, you may not access or use the platform.

Sole Trader Status: Resurfed AI is owned, operated, and maintained by an independent sole trader based in the United Kingdom (“the Operator”, “we”, “us”, or “our”). There is no incorporated company, corporate entity, or legal partnership; we never claim, represent, or imply otherwise.

Mandatory Age Requirement: Must Be Over 18: You must be at least eighteen (18) years of age to register for, access, or use Resurfed AI. By accessing the platform, submitting company details, or subscribing to any plan, you warrant and represent that you are at least 18 years old and possess the full legal capacity and authority to enter into these Terms. Individuals under 18 years of age are strictly prohibited from using this service.

If you are using Resurfed AI on behalf of a business, client, or enterprise, you represent and warrant that you have full legal authority to bind that entity to these Terms.

2. Description of Service & Honest Technical Disclosures

Resurfed AI provides a software platform for monitoring, benchmarking, and analyzing B2B software brand visibility across conversational artificial intelligence search engines (including OpenAI ChatGPT, Google Gemini, and Perplexity Sonar). Core features include Share of Voice (SOV) tracking, Competitor Radar, source citation lineage, synthetic buyer persona auditing, Actionable Generative Engine Optimization (GEO) task tracking, and pipeline revenue modeling.

No 99.9% Uptime SLA & No SOC2 Certification: Resurfed AI is provided strictly on an “as is” and “as available” basis. Because we are an independent software product operated by a sole trader, we do not offer or warrant a 99.9% uptime Service Level Agreement (SLA), SOC2 Type II certifications, or institutional corporate compliance reports. We believe in complete transparency and do not make unsubstantiated corporate marketing claims.

3. Subscription Plans, 14-Day Free Trials, Proration & Refund Policy

  • 14-Day Free Trial: Both Starter and Pro tiers include a 14-day free trial period for new accounts that have not previously held a Resurfed AI subscription. The trial must be started within 14 days of creating your account. During your trial, you have full access to your plan's feature tier. You may cancel at any time during the 14-day trial period via Account Settings or the Stripe Customer Portal without incurring any charge.
  • Commercial Tiers:
    • Starter Plan: $50 USD/month (billed monthly) or $39 USD/month ($468 billed annually, 20% discount). Includes 1 brand, up to 3 tracked competitors, 20 tracked prompts per week (capped at 350 prompt runs per month), weekly crawl cadence, 1 team seat, and coverage of ChatGPT plus one of Google Gemini or Perplexity.
    • Pro Plan: $149 USD/month (billed monthly) or $119 USD/month ($1,428 billed annually, 20% discount). Includes 3 brands, up to 5 tracked competitors per brand, 60 tracked prompts per brand per week (capped at 2,500 prompt runs per month), 3x/week crawl cadence, 5 team seats, Competitor Radar, PDF exports, and all 3 engines (ChatGPT, Gemini, Perplexity).
    • Custom / Enterprise Plan: Bespoke pricing agreed via direct proposal from team@resurfedai.com for high-volume prompt batteries, agency multi-brand fleets, daily crawl cadences, and custom invoicing.
  • Automatic Renewal: Following the 14-day free trial, subscriptions automatically renew on a recurring monthly or annual cycle depending on your selected billing interval, charging your stored payment method via Stripe, until explicitly canceled.
  • Proration Rules for Upgrades & Interval Changes: You may upgrade or downgrade your plan tier, or switch between monthly and annual billing intervals, at any time. Any change of tier or billing interval is invoiced immediately through Stripe, resulting in immediate prorated charges, crediting any unused balance from your current billing cycle directly toward the new invoice.
  • Strict Refund Policy (All Sales Final): All payments, renewal charges, and setup fees are non-refundable. There are no refunds, credits, or fee prorations for partially used billing months, unused search prompt quotas, or mid-cycle account cancellations. Cancellation takes effect at the end of the active billing period, and your access remains active until that date. The one exception is account deletion (see Section 11): deleting your account cancels your subscription immediately, ends your access at once, and is not refunded for the remainder of the billing period.

4. Limitation of Liability & Sole Trader Protections

Monetary Cap on Total Aggregate Liability

To the maximum extent permitted by applicable law in England and Wales, the total aggregate liability of the Operator (including any sole trader personal liability) arising out of or related to these Terms, the platform, or any service downtime, whether in contract, tort (including negligence), breach of statutory duty, restitution, or otherwise, shall be strictly capped and limited to the total amount actually paid by you to Resurfed AI in the twelve (12) months immediately preceding the event giving rise to the claim (or $100 USD if you have only used a free trial or free visibility score).

Disclaimer of Consequential, Indirect & Pipeline Damages

In no event shall the Operator be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages whatsoever. This includes, without limitation:

  • Loss of business profits, customer contracts, sales deals, or commercial pipeline revenue (e.g., claiming a loss of $50,000 in pipeline value due to platform downtime or delayed crawl results);
  • Business interruption, loss of use, or loss of operational productivity;
  • Loss of goodwill, brand reputation, or third-party standing;
  • Loss, damage, or corruption of customer data or analytics records.

These liability disclaimers and caps apply regardless of whether the Operator was advised of the possibility of such damages and regardless of whether any limited remedy fails of its essential purpose.

5. Disclaimer of Financial, Business & ROI Advice

Informational and Illustrative Metrics Only

Resurfed AI calculates metrics such as “Pipeline Opportunity Risk,” total annual market opportunity, projected customer lifetime values, and financial revenue recovery models in dollars ($ USD).

No Financial, Legal, or Business Advice: All financial calculators, ROI projections, and pipeline opportunity dollar figures provided in the dashboard, PDF scorecards, or marketing materials are strictly for informational, educational, and illustrative benchmarking purposes only. They do not constitute financial advice, investment advice, revenue guarantees, or business consulting.

You are solely responsible for evaluating your business decisions, marketing investments, and content strategies. Resurfed AI does not warrant that executing recommended GEO tasks will result in increased sales, higher conversion rates, or financial gain.

6. Acceptable Use, Anti-Scraping & 6-Layer Security Shield

Our public endpoints (including /score and /api/lead-score) and authenticated dashboard APIs are protected by a comprehensive 6-layer defense-in-depth shield, which includes Cloudflare Turnstile, honeypot traps, sliding-window rate limiters, token validation, and bot telemetry tracking. We also deploy product telemetry and analytics (via PostHog) to monitor platform uptime, identify operational anomalies, and prevent automated abuse.

You agree not to, and agree not to allow or assist any third party to:

  • Automated Scraping & Crawling: Use any automated scraper, bot, spider, script, or crawler to extract benchmark scores, citations, competitor radar datasets, or pricing calculations from Resurfed AI;
  • Reverse Engineering: Reverse-engineer, decompile, disassemble, or derive source code or proprietary scoring algorithms from the platform;
  • Circumvention of Security Controls: Bypass, probe, test, or attempt to defeat rate limits, IP lockouts, Turnstile challenges, honeypot traps, or PostgreSQL Row-Level Security barriers;
  • Wallet-Draining & Denial-of-Service Attacks: Generate artificial, high-frequency, or abusive API calls designed to drain LLM provider credits, inflate operational costs, or degrade platform performance for other customers.

7. Input Data Restrictions (No PHI, Raw Financial Data, or Malicious Code)

Resurfed AI allows workspace users to configure customized prompt batteries, buyer personas, regional parameters, and competitor domain lists. Because these inputs are transmitted to external large language model APIs (OpenAI, Google GenAI, and Perplexity) to evaluate search results, you must exercise caution regarding input data.

Strictly Prohibited Input Data: You explicitly warrant, represent, and agree that you will NOT input, upload, or transmit into Resurfed AI:

  • Protected Health Information (PHI): Any health records, medical diagnoses, or patient information subject to HIPAA or sensitive health privacy regulations;
  • Raw Financial Data & Payment Credentials: Credit card numbers, CVVs, bank account numbers, or data regulated by PCI-DSS;
  • Special Category Personal Data: Passwords, government IDs, biometric data, or racial/ethnic data under UK GDPR / EU GDPR;
  • Malicious Code & Adversarial Prompts: Viruses, Trojan horses, malware, prompt injection exploits, or instructions designed to compromise LLM reasoning engines.

8. Third-Party API Dependencies & Non-Deterministic AI Model Outputs

Resurfed AI relies on external third-party infrastructure and APIs to deliver services, including Stripe (billing), OpenAI, Google Gemini, and Perplexity. The specific AI models we query may change over time as providers release, update, or retire models.

  • Third-Party Outages & Latency: The Operator is not liable or responsible for delays, service interruptions, or crawl failures caused by upstream AI provider rate limits, API deprecations, provider outages, or third-party policy changes.
  • Non-Deterministic AI Reasoning: Generative AI models synthesize answers probabilistically. Answers and citations vary across reasoning runs, dates, and geographic locations. Resurfed AI accurately records what models output during scheduled scans, but does not control external model weights, search grounding indexes, or competitor recommendations.

9. Team Seats, Workspace Management & Right to Terminate or Suspend

Workspace owners are responsible for all activity conducted through their invited team members. Resurfed AI enforces seat limits based on your active plan tier (1 seat on Starter, 5 seats on Pro, custom seats on Enterprise).

Operator Right to Suspend or Terminate Accounts

The Operator reserves the absolute right to immediately suspend, restrict, or terminate any user account, workspace, or access to the platform, in whole or in part, without prior notice or refund, in the event that:

  • You breach or violate any provision of these Terms or Acceptable Use policies;
  • Your subscription payment fails, is disputed, or falls into arrears;
  • You conduct scraping, bot attacks, or abuse platform rate limits;
  • The Operator is required to do so by applicable law or by upstream LLM providers.

10. GitHub Integration & Generated Content

You may optionally install the Resurfed AI GitHub App on repositories you control. When you choose to deploy a GEO task, Resurfed AI creates a new branch and opens a pull request containing suggested changes (for example, structured data, documentation, or page content). Resurfed AI never merges pull requests or pushes directly to your default branch.

You are responsible for reviewing generated content. Pull requests, schema drafts, comparison briefs, and other assets are AI-assisted suggestions and may contain errors or inaccurate claims about your product or competitors. You are solely responsible for reviewing, editing, and approving any change before merging or publishing it, and for the accuracy and legality of anything you publish. The Operator is not liable for the effects of changes you merge or publish. You may uninstall the GitHub App at any time from your GitHub settings.

11. Intellectual Property, Customer Data Ownership & Danger Zone Deletion

Customer Data Ownership: You retain 100% ownership of all brand names, domain URLs, custom persona prompts, and proprietary business metrics configured in your account.

Resurfed AI Intellectual Property: The Operator retains all rights, title, and interest in and to the Resurfed AI software, algorithms, user interfaces, scoring models, and documentation.

Instant Account Purge (Danger Zone): You may permanently erase your workspace, all tracked brands, prompt histories, and active billing records at any time by navigating to Dashboard → Account Settings → Danger Zone → Delete Account. Deletion is permanent and cannot be undone. It immediately cancels any active subscription without a refund for the remainder of the billing period, so export any data you wish to keep first.

12. Governing Law, Jurisdiction & Legal Notices

These Terms, their subject matter, and their formation (including any non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute, claim, or controversy arising out of or in connection with these Terms.
